HILODI - HISTORIC LODGES & DISCOVERIES, S.A, a public limited company, with registered offices at Rua do Choupelo, nº250, 4400-088 Vila Nova de Gaia, with Tax ID and VAT number 513.165.096, and a share capital of 000.00, RNAAT nº 567/2020, is the promoter of the Show and Public Entertainment Venue - Theme Park, under the name World of Wine (hereinafter identified as WoW), and is also the legal owner of the domain www.wow.pt and of the virtual shop - www.shop.vintevintechocolate.pt - (hereinafter identified as Loja Virtual Vinte Vinte Chocolate).

For any clarification related with the site www.shop.vintevintechocolate.pt or with the present Terms and Conditions, you can contact the Customer Support Service, through the email retail.online@wow.pt. If you prefer, you may do so by telephone, from Monday to Friday, from 09:00h to 13:00h and from 14:00h to 18:00h, on +351 220 121 200, or by post, to Rua do Choupelo, nº 39, 4400-088 Vila Nova de Gaia.

If you need to file a complaint, you can always go to our physical shops, in Vila Nova de Gaia, located at Vinte Vinte Chocolate, Rua do Choupelo, nº 39; Rua Barão de Forrester, nº 424, and Rua de Guilherme Braga, nº 27.

3. Object and scope

3.1. These Terms and Conditions shall apply to all orders placed by the Customer (hereinafter referred to as "the Customer") with HILODI - HISTORIC LODGES & DISCOVERIES, S.A, 513.165.096, (hereinafter referred to as "Hilodi" or "we"), on the website of Hilodiwww.wow.pt,e in the Online Store Vinte Vintey Chocolate .

3.2 Browsing the site, as well as the purchase of any product in the Online Store Vinte Vintey Chocolate, assumes acceptance of these Terms and Conditions.

3.3 "End Consumer" or "User" or even "Customer" is any person aged 18 years or older who acts / buys with a purely personal purpose, outside of their commercial, industrial, handicraft or professional activity, therefore, without any desire to resell the articles purchased in the online shop Vinte Vintey Twenty Chocolate.

3.5. HILODI through the Online Store Vinte Vintey Chocolate sells all its merchandising products from a wide variety of suppliers and will be the entity responsible for the sale in the Online Store Vinte Vintey Chocolate of articles of the brands Vinte Vintey Chocolate or Vinte Vintey Twenty, being that all e-commerce services are only available to final consumer(s).

3.6. HILODI reserves the right not to process any order received from users who are not "Final Consumer(s)" or those who do not agree with these Terms and Conditions.

3.7. The "Final Consumer(s)" must provide HILODI, owner of the Vinte Vintey Chocolate E-Shop, with an e-mail address, or the details of another form of contact, that is correct and complete and accepts that HILODI may contact them using these details if it deems appropriate.

4.         Information on the Contents of the Vinte Vintey Chocolate Webshop

4.1. The reproduction, transfer, distribution or storage of the contents of the virtual shop - www.shop.vintevintechocolate.pt, without prior written authorisation granted by Hilodi, is prohibited for any purpose other than strictly personal use.

4.2 The introduction of links from our website for commercial purposes or without prior authorisation from HILODI is expressly prohibited. The use of the domain www.wow.ptcom for abusive purposes, or without prior authorisation, is subject to legal action by HILODI.

4.3 If you find, on other sites, links to www.shop.vintevintechocolate.pt or references to the online shop Vinte Vintey Chocolate we inform you that HILODI has no responsibility for such links or pages, nor for the content contained therein.

HILODI will not take responsibility for advertisements and campaigns that use the brand Vinte Vintey Chocolate without being legitimated to do so.

4.4 We are strongly committed to ensuring that the information presented in the E-Shop Vinte Vintey Chocolate is free of typographic or writing errors and whenever these occur we will correct them as soon as possible.

4.5 All contractual information as well as the information of the articles, communications by e-mail and formalization of the sale are/will be written in the language that the "User" or "Client" chose in the options presented in the upper right corner of the online shop, with the exception of expressions/strangeness that are necessarily used.

5. Commercial Policy

5.1 If the information presented does not correspond to the characteristics of the product, the Customer has the right to cancel the sale and purchase contract under the terms of the applicable law.

5.2 The photographs shown on the website are purely illustrative, so we recommend that you take a long look at the product details for better information on the respective characteristics of the items you wish to purchase.

5.3 Product prices and specifications are subject to change without notice. Although HILODI takes great care to keep all information up to date, some products may contain an incorrect price, so we will check prices whenever we process orders. If the price of the product is lower than the advertised price, we will refund the difference. If the price is higher, we will inform the "Consumer" by e-mail and wait for his/her decision to accept the new offer or cancel the order.

5.4 The catalogue of products in the virtual shop Vinte Vintey Chocolate is independent of the physical shops, both in terms of price, products presented and quantities in stock. All promotional campaigns have limited stock and may be exclusive to the virtual shop Vinte Vintey Chocolate.

5.5 Under the terms of clause 3.2 above, validation of the purchase request or order presupposes that the "Customer" is aware and accepts these Terms and Conditions.

5.6 All the data recorded by HILODI is proof of all the transactions carried out between HILODI and the "End Consumer", and HILODI is responsible for archiving the electronic document formalising the contract and is obliged to keep it accessible.

6. Obligations of Customers and Users

6.1 Any visitor to the online shop Vinte Vintey Chocolate undertakes to comply with and respect these general conditions, namely by observing the following behaviours:

- Refrain from introducing, storing or disseminating through the online shop Vinte Vintey Chocolate defamatory, obscene, injurious, xenophobic and/or any other content that violates the general principles of law and public order;

- Keep, and not disclose, your password to enter the site in order to prevent third parties from accessing your account and personal data

- Not use false identities;

- Provide your correct personal data and address so that HILODI can process orders properly;

- Users are therefore expressly prohibited from transmitting messages or information that is injurious, misleading, defamatory, obscene or that in any way violates the right to privacy or the intellectual or industrial property of others, as well as providing any information that may be harmful to third parties or to HILODI.

- HILODI reserves the right to delete the account of a user who fails to respect any of these obligations.

6.2 The Customer is solely responsible for the accuracy of the personal data provided to HILODI and undertakes to immediately enter and inform HILODI of any changes through their Registration Account at Loja virtual Vinte Vinte Chocolate at www.shop.vintevintechocolate.pt.

6.3 HILODI disclaims any responsibility for any delay or impossibility of processing the order, particularly at the time of delivery, due to error or inadequacy of the data communicated by the Customer.

7. Placing an order online

To place an order in the online shop Vinte Vintey Chocolate, it is necessary that the "User" has a valid and frequently used e-mail account.

8. Product availability and order confirmation/cancellation

8.1. HILODI only processes orders placed by a Customer after confirmation of payment and therefore HILODI cannot guarantee the availability of products until this processing begins.

8.2 HILODI only dispatches orders on working days. Thus, for estimating the delivery time of orders, neither weekends nor public holidays are taken into account. Any delay in the shipment of items, compared to the estimated dates presented, does not give any right to compensation.

8.3 The fulfilment of all orders placed on the website is subject to product availability. HILODI tries to ensure that all items offered for sale on the website are in stock. However, HILODI reserves the right not to accept any orders or to cancel orders already confirmed for products which no longer have stock. If the product is unavailable or out of stock, HILODI will immediately inform the Customer of the partial or total cancellation of the order, and the Customer will be entitled to a refund of the amount paid.

8.4 The inclusion of any products in the online shop Vinte Vintey Chocolate. at any given time does not imply or guarantee that these products will always be available. We reserve the right to discontinue any product at any time.

9. Confirmation or cancellation of the order

9.1 HILODI may not validate an order which does not have sufficient guarantee of good collection, when the order is incomplete or incorrect, or when the products ordered are no longer available. In any of these cases, HILODI will inform the Customer within five days via e-mail that the sales contract has not been fulfilled and that HILODI has not proceeded with the sale, specifying the reasons for this.

9.2 If products ordered in the Vinte Vintey Chocolate online shop are no longer available at the time of your last access to the site, despite having obtained confirmation of order, or when HILODI receives your request, the latter will immediately inform the "Customer" of the unavailability of the same, never exceeding a period of 30 days after receipt of the request.

9.3 If an order has been placed and payment made for products which have become unavailable, HILODI will refund the money paid for the unavailable items within 30 days of the unavailability of the items.

9.4 HILODI reserves the right to refuse any order regardless of the reason and exempts itself from responsibility for any damages or costs, as well as reserves the right to cancel any purchase even if it has already been accepted or confirmed by HILODI, namely in the following situations:

- The information on the invoice is not correct or verifiable;
- The order is flagged by the website Security Systems as an incorrect, irregular order, or an order susceptible to fraud;
- When it is not possible to deliver the order to the address provided by the "User";
- If it is considered that the "Customer" did not have the legal capacity to make the purchase.
- If it is verified that there was an error in the presentation of the price of the product(s);
- If it is assumed that the order comes from an entity that is a reseller.

10. Payment Conditions and Safety Guarantees

10.1 The payment methods available will be presented in the online shop Vinte Vintey Chocolate. We do not accept any other method of payment besides those mentioned.

10.2 You can pay for your products using your usual credit cards, using MEO Wallet, Visa, Mastercard, Multibanco or MB Way.

10.3 When paying by credit card, all details (such as card number, expiry date or security code) will be sent by encrypted protocol to the company providing remote electronic payment services, MEO Wallet, without any third party having access to the transmitted information. 11.3 HILODI cannot be held responsible for any damage resulting from the use of electronic means of communication, in particular damage resulting from failures or delays in the delivery of electronic communications, interception or manipulation of electronic communications by third parties or by computer programs used for communications or transmissions of viruses.

12. Reservation of Ownership of Products Sold

HILODI retains ownership of the company's products until it has received full payment for all such products.

13. Prices

13.1 The prices of the products displayed in the online shop Vinte Vintey Chocolate include Value Added Tax (VAT).

13.2 The total price specified in the final "Checkout" menu includes taxes and shipping costs. Prices are quoted upon order confirmation, which you can print or download for future use. At the time of payment, please transfer only the exact amount specified in the order confirmation and make individual transfers per order.

14. Quality and Warranty

15. Shipment of Products and Delivery

15.2. We can only guarantee proper delivery of an order if the shipping address of the products is correctly indicated by the Customer, if that address is located in Europe.

15.3 A delivery or product is deemed to have been delivered when the delivery receipt is signed for at the indicated address.

15.4 Unless expressly indicated by the Customer, or if the billing address is different from the delivery address, the invoice will accompany the order.

HILODI will not be held responsible for any delay or impossibility in processing the order, including delivery, due to error or inadequacy of the information provided by the Customer.

16. Shipping Costs and Delivery Times

16.1. The Shipping Costs associated with your order will be invoiced on a per order basis, i.e. if you order more than one item, you will only pay the shipping costs once. However, HILODI reserves the right to split the delivery of the order, for example if part of the order is delayed or not available. In case we proceed to split the order, the customer will be notified of our intention by e-mail. The email address provided by you at the time of purchase will be used for this purpose.

16.2. 16.2 Shipping costs are available at the bottom of the website under "Shipping Costs".

16.3 Upon delivery, you should inspect the packaging and products for damage. If the products are found to be damaged, the Customer should not accept delivery of the order, which should be returned immediately via the "Returns" mechanism provided for at www.shop.vintevintechocolate.pt. HILODI will refund the amounts paid for the order and the shipping costs as soon as it receives and completes the return process at its headquarters.

16.4 The order is deemed accepted if, after receiving the order, the Customer does not return the order within 30 days.

17. Order delivery times

17.1. After registration of your order, confirmation of your payment and availability of all items in your order, HILODI undertakes to ship within the following delivery times:

- In mainland Portugal, on average, 2 working days.
- In Madeira and Azores, on average, up to 5 working days.
- In Spain, up to 2 working days.
- In Europe, up to 5 working days.

17.2. HILODI will not be liable for non-fulfilment, or delay in fulfilment, of any obligation to send a product which is due to a force majeure event, i.e. an event beyond its reasonable control.

17.3 For quality and food safety reasons, whenever the order includes the Vinte Vintey Chocolate brand, and if the order is placed after 12 noon on a Thursday, 11:59pm on a Sunday, orders are only dispatched on the Tuesday of the following week, or the next working day if that day is a public holiday.

HILODI endeavours to dispatch orders as quickly as possible and in the order in which they are placed. We aim to dispatch 2 to 5 working days after order confirmation. Although we aim to dispatch within the timeframe indicated, this may not be possible due to unforeseen circumstances. In the unlikely event that the shipping time exceeds 30 days, you may cancel your order.

18. Cancellations, Exchanges and Return of Products

Cancellation and Right of Free Resolution

Having purchased an item on www.shop.vintevintechocolate.pt, you have a period of 14 calendar days to return it, from the receipt of the order, under the right of free resolution, provided for in Decree-Law No. 24/2014 of 14 February. You may do so provided that the following conditions are met:

- Presentation of the product purchase invoice.
- The product must be delivered in the same condition in which it was sold, without external damage or signs of use and in perfect working order, packed in its original packaging and accompanied by the user manual and all its accessories.
- Exercise, under penalty of forfeiture, the right of free withdrawal within 14 days from the day following the day on which you or a third party indicated by you, other than the carrier, takes physical possession of the goods.

In order to exercise your right of withdrawal, you must notify us of your decision to withdraw from this contract by a clear statement, by letter to:

You may use the model withdrawal form that we present below, but this is not compulsory. You also have the possibility to fill in and submit electronically the model free withdrawal form or any other unequivocal statement of withdrawal through our site Internetshop.vintevintechocolate.pt. If you make use of this possibility, we will send you an e-mail without delay, containing the acknowledgement of receipt of the resolution request.

For the period of free withdrawal to be respected, it is sufficient that your communication concerning the exercise of the right of free withdrawal is sent before the expiration of the withdrawal period.

Effect of withdrawal: If you withdraw from this contract, we will reimburse to you all payments received from you, including delivery costs (with the exception of additional costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed that you have withdrawn from this contract. We will make such refunds using the same means of payment as you used for the initial transaction, unless you expressly agree otherwise; in any event, you will not incur any costs as a result of such refund. We may withhold the refund until we have received the returned goods or until you provide proof of dispatch of the goods, whichever is the earlier

You shall return the goods or hand them over to us without undue delay and not later than 14 days from the day on which you inform us of your withdrawal from the contract. The deadline is met if you send back the goods before the period of 14 days has expired.

In the case of the return of goods In the event of exercising the right of free withdrawal, the Customer shall bear the full cost of returning the goods, with the exception of those that cannot be returned by normal post. that by their nature cannot be returned by normal mail, the Customer must bear the direct costs of said return which are associated with the shipping costs that appear in the parcel shipping cost table.

Note that you will not be able to exercise the right of free resolution in relation to perishable products, nor in relation to personalised products. Therefore, if your order contains Vinte Vintey chocolates, you will not benefit, in relation to these, from the right of free resolution, under the terms of article 17 of Decree-Law no. 24/2014, of 14 February

Product Exchanges

 After receiving the order, the "Client" has a period of 30 days to exchange the item(s).

To make an exchange, you must complete the online exchange form. Afterwards, HILODI will contact you to explain the steps to exchange the item(s).

The shipping of the exchanges for Continental Portugal, Madeira Archipelago, Azores and Europe are always the responsibility of the customer, and he should send the product to the following address: A/C. The customer may also choose to exchange the product directly in our physical shops, which does not represent any additional cost associated with shipping.

Product Returns

18.2 After receipt of the order, the Customer has a period of 30 days to return the product(s) if they are found to be faulty or non-compliant.

18.1 If you decide to return the products purchased, HILODI has the right not to accept the return of products if the returned products are not in their original condition and packaging, or if they have been used.

18.3 To make a return, you must complete the online return form. HILODI will then contact you to explain the steps necessary to return the item.

18.4 The shipping of returns within mainland Portugal, Madeira, Azores and Europe will always be the responsibility of the customer, who should return the product to the following address:

The customer may also choose to return the product directly to our physical shops, which does not represent any additional cost associated with shipping.

18.5 Upon receipt of all or part of the ordered products at our facilities, we will process them within a maximum of 10 working days. If the return is confirmed, the amount will be refunded to you by the same method of payment. Value returns are only made to the account/card which originated the purchase.

19. Conditions applicable to Promotional Codes (discounts)

19.1 When used in accordance with the established rules, a promotional code entitles the User to take advantage of a promotion/discount on the purchase of a specific product or for a set of products, during the period indicated/associated with the promotional code/promotional campaign.

19.2 Promotional codes are personal and non-transferable and may only be used on online purchases made on the Website. It is not permitted to sell, exchange or give away a promotional code. The customer holding the promotional code may not upload or make available a promotional code on any website or other public form of offer, donation, sale or exchange. 19.2 It is not permitted to use promotional codes for commercial purposes.

19.3 The use of a promotional code is limited to one use per product per order. 19.4 Promotional codes cannot be combined with any other promotions or special offers.

19.4 Promotional codes cannot be exchanged for cash and will not be re-issued or refunded.

19.5 Without prejudice to any other rights, HILODI reserves the right to immediately invalidate the promotional code issued if it suspects that a promotional code is being used in violation of the above conditions.

19. Conditions applicable to Promotional Codes (discounts)

20. Validity of promotions or commercial campaigns

20.1 Promotional offers or commercial campaigns disclosed in the online shop Vinte Vintey Chocolate are valid only for the moment in which they are displayed on the website and in accordance with the conditions established, unless otherwise communicated on the website.

20.2 In case of return of items purchased under commercial campaigns or promotions, you will be credited or delivered only the amount that you effectively spent on the purchase of the item you want to return.

21. Liability

21.1 HILODI will only be liable for damages suffered by the "Customer" if such damages are the result of breaches of HILODI's contractual obligations to the "Customer", or if the liability arises from applicable legal law.

21.2 If the "Customer" has suffered damage in connection with the activity on the website, HILODI's liability will be limited to:

Damage to the merchandising and Vinte Vintey Chocolate products marketed,

Reasonable and verifiable costs incurred by(the) "Client" to find the cause and amount of compensation attributable to the damage due to HILODI's breach of these Terms and Conditions.

The maximum reimbursement of the above-mentioned compensation will be (if applicable) equivalent to the price of the products concerned

21.3. HILODI cannot be held responsible for damages suffered by third parties resulting from the use of any of our products. HILODI cannot be held responsible for the damage suffered by the Customer as a result of improper use of our products.

21.4 HILODI is not responsible for any damage resulting from incorrect information on the website.

In the event that the Customer suffers damage as a result of HILODI's gross negligence or willful misconduct, none of the limitations set out in this article shall apply.

Nothing in these Terms excludes or limits the liability of HILODI in respect of any matter for which the exclusion or limitation of liability is unlawful

Our maximum liability to you for any loss or damage in connection with your order in the Vinte Vintey Chocolate online shop will be limited to the total price of your order.

21.5 All products marketed by HILODI on the website www.shop.vintevintechocolate.ptestão in accordance with Portuguese law.

HILODI accepts no responsibility in the event of a breach of the legislation of the country where the order is delivered. It is the responsibility of the Customer to check with the local authorities the conditions of import or use of Products to be ordered.

HILODI is not responsible for damages resulting from any interference, interruptions, computer viruses, malfunctions or disconnections of the operating system that may temporarily prevent access, navigation or the provision of services to Users.

HILODI is not responsible for situations of unforeseeable circumstances or force majeure, resulting from unforeseen events or natural forces beyond human control that cannot be avoided or situations that make it impossible to provide the services that cannot be attributed to HILODI, such as natural disasters, terrorist attacks, war, epidemics and others. Whenever this occurs, HILODI will take the necessary measures to inform customers of the circumstances and foreseeable consequences of this impossibility.

22. Intellectual and Industrial Property

22.1 HILODI - HISTORIC LODGES & DISCOVERIES, S.A, and its suppliers or licensors retain all intellectual property rights, such as trademarks and copyrights, at www.shop.vintevintechocolate.pt. Any use of the Vinte Vintey Chocolate online shop or its contents, including copying or storing all or part of such contents, for purposes other than personal and non-commercial use by the Customer is prohibited without the consent of HILODI

22.5. If the "User" wishes to use information or material contained on the site, prior written authorisation must be obtained from HILODI.

23. Applicable Law

23.1. These Terms and Conditions and all disputes arising in connection with these general conditions, including their validity, the use of the site www.shop.vintevintechocolate.pt or any purchase therefrom shall be governed by Portuguese Law.

23.2 In the event of a dispute regarding the interpretation or execution of these Terms and Conditions, HILODI and the "Customer" agree to seek an amicable, fair and appropriate solution within a maximum period of 60 (sixty) days from receipt of the communication addressed to this effect by either party involved.

23.3 In the event of a consumer dispute, the consumer may resort to the European platform for online dispute resolution available at https://ec.europa.eu/consumers/odr/main/index.cfm?event=main.home2.show&lng=PT. If you wish to make a complaint, you may also contact one of the Alternative Dispute Resolution bodies listed below - the one with territorial competence defined according to the consumer's area of residence. This alternative dispute resolution entity will also be able to clarify any doubts you may have about this process (under article 18 of Law no. 144/2015, of 8 September).

In compliance with article 18 of Law no. 144/2015, of 8 September, it is hereby informed that the entities of Alternative Resolution of Consumer Disputes are those listed in the following list:
